ProspectGrid is operated by Yevhen Lysenko, a sole proprietor. These Terms govern your use of ProspectGrid (“ProspectGrid”, “we”, “us”, or “our”).
ProspectGrid at getprospectgrid.com is referred to below as the “Service”. By creating an account or running a search you accept these Terms. If you are agreeing on behalf of a company, you confirm you may bind it.
ProspectGrid uses the Google Places API to find businesses matching a category and location, scores each one based on how reachable it is and what is visibly missing, and — where enrichment is enabled — reads contact details that businesses publish on their own websites.
The Service reports what those sources say. It does not verify any of it, and listings, ratings, phone numbers and contact details go out of date without warning.
Without an account you may run a limited number of searches so you can see what the Service does. That allowance is counted per visitor, and working around it — changing your IP address, opening extra accounts, automating the form — is a breach of these Terms.
A paid plan carries an allowance of searches for each billing period, described on the pricing page at the time you subscribe. Allowances do not roll over. We may change what a plan includes; if a change reduces what you have paid for, it takes effect at your next renewal rather than during a period you have already paid.
You may use the Service to find and contact businesses for your own business purposes. You may not:

Results contain information about businesses, and some of it — a name, a role, a work email address, a phone number — is personal data about the people who work there. To the extent we process personal data contained in search or enrichment results solely on your behalf, you act as the controller and we act as your processor. For personal data that we process for our own purposes, such as account administration, security, fraud prevention, analytics and compliance, we act as a controller as described in our Privacy Policy.

Where applicable, our processing of personal data on your behalf is subject to applicable data protection requirements and any data processing agreement entered into between you and ProspectGrid.
The Service uses Google Maps Platform. Google Maps content made available through the Service is subject to the Google Maps Platform Terms of Service and applicable Google Maps Platform policies. Your use of Google Maps content must comply with those terms, and nothing in these Terms grants you any additional rights in Google Maps content.
The Service also draws on the websites businesses publish themselves. Links to third-party sites are not endorsements, and we are not responsible for what is on them.
The Service, website, software and all associated intellectual property remain the property of ProspectGrid or its licensors. Your subscription is a limited, non-exclusive, non-transferable right to use the Service while it is paid for — not a transfer of any rights in the software.
What you put into the Service — including your searches and account details — remains yours. We process it only as necessary to provide, secure, maintain and improve the Service, and as otherwise described in our Privacy Policy. This paragraph is about the data you provide. It says nothing about third-party content returned by a search, which is not ours to give you rights in and stays subject to section 7.
We aim to keep the Service running but do not promise it will be uninterrupted or error free. Maintenance, third-party outages and rate limits imposed by our data sources can all interrupt it. We may add, change or remove features; where a change materially reduces what a paid plan does, section 3 applies.
You may close your account at any time. We may suspend or close an account that breaches these Terms, that is being used to abuse the Service or the sources it draws on, or where payment has failed and stayed unpaid. We will give notice and a chance to put things right unless the breach is serious enough that we cannot. Refunds are covered by section 4 and our Refund Policy.
The Service is provided “as is” and “as available”. To the extent the law allows, we exclude all implied warranties, and we make no promise that results are accurate, complete, current, or that contacting the businesses in them will produce any particular outcome. Nothing here excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded — and nothing here affects the statutory rights of a consumer.
To the extent the law allows, we are not liable for indirect or consequential loss, or for lost profits, revenue, goodwill or data, however arising, including loss arising from your use of information obtained through the Service. Our total liability under these Terms, for all claims taken together, is limited to the fees paid for the Service in the twelve months before the claim arose.
This section limits our liability. It does not limit your obligation to pay fees, your indemnity under section 13, or your liability for fraud, wilful misconduct, a breach of section 5, or infringement of our intellectual property rights or those of a third party.
If your breach of these Terms, unlawful use of the Service, or unlawful use of data obtained through the Service leads to a claim against us by a third party or a regulator, you will indemnify us for the reasonable costs, damages and expenses resulting from that claim, to the extent permitted by applicable law. We will tell you promptly of any such claim and let you take part in the defence.
We may revise these Terms. The date at the top says when they last changed. If a change materially affects your rights we will give notice by email or on the site before it applies, and continuing to use the Service after that is acceptance. If you do not accept it, cancel before it takes effect.
Nothing in these Terms limits any mandatory consumer rights or protections that apply to you under applicable law.
Before going to court, write to us at support@getprospectgrid.com: most things are quicker to settle that way.
If any part of these Terms is unenforceable, the rest stands. Not enforcing something once does not waive it. You may not transfer your rights under these Terms without our consent; we may transfer ours to a buyer of the business. These Terms and the Privacy Policy are the whole agreement between us about the Service.
